为什么总包数字会骗人

硅谷 PM 的薪酬结构是一个三层塔,不是一块平板。Base salary 是地基,RSU 是中间层,sign-on bonus 是顶端的装饰。大多数人看房只看总价,不看每层能住人还是只能放东西。

Base salary 的范围在硅谷 PM 中通常是:L3/E3 级别 120K-150K,L4/E4 150K-180K,L5/E5 180K-230K,L6/E6 230K-280K。这个数字是你在劳资关系中最硬的保障——公司不能随意削减,离婚时能算进 child support calculation,也是你申请房贷时银行最认的收入。

但 base 的代价是税最重,W-2 收入,最高边际税率在加州能到 50% 以上。

RSU 才是总包里水分最大的部分。Google 的 GSU、Meta 的 RSU、Amazon 的 RSU,名字不同,机制迥异。Google 的 GSU 四年 vest,第一年 cliff,之后 quarterly vest,refresh grant 通常在入职第二年发放,这意味着你的"总包"在第二年会出现一个由 refresh 补上的台阶。

Meta 的 RSU 前两年 vest 比例更高(25/25/25/25 改为 5/15/40/40 的变体),意图是锁人更紧,但前两年现金流更好。Amazon 的 vesting 是 5/15/40/40,而且第一年有 sign-on 补 RSU 的空窗,这是为了把 base 压到 160K 上限以下,用 sign-on 替代前两年缺失的 equity。

层级对标:L4、E4 和"Senior PM"根本不是一回事

硅谷的层级系统是一个各自为政的迷宫。Google 的 L4 叫 Product Manager,L5 叫 Senior PM;Meta 的 E4 是 PM,E5 是 Senior PM;

Apple 的直接是 ICT3/ICT4/ICT5。更混乱的是 pre-IPO 公司,"Senior PM"可能是 5 号员工业绩增长后的头衔,也可能是第 500 号员工的标准职级。

层级对标的陷阱在于,title inflation 让数字失去意义。一位在 Series B 公司做"VP of Product"的候选人,面 Google 时目标是 L6,实际定级 L5。

他的 debrief 会议里,hiring committee 的争议不是他做不了 L6 的工作,而是他的 scope of impact 证据全部来自"他是团队里唯一懂产品的",而不是"他在一个成熟组织里推动了跨职能改变"。Google 的 ladder 要求的是 impact at scale,不是 heroic individual contribution。

不是 title 越高选择越好,而是层级背后代表的 scope、resource access 和 promotion velocity 才是变量。Google L4 的典型 scope 是一个核心产品的子功能,比如 Google Search 的某个 ranking signal 或 Google Maps 的某个 layer。L5 开始拥有端到端的 product area,能调动 5-10 人的工程团队。

L6 则要求 cross-functional leadership,管理多个 PM,影响百人级别的组织。Meta 的 E4 对标 Google L4,但 E4 的 scope 通常更大,因为 Meta 的 culture 更 aggressive,E4 可能被 expected 去 launch 0-to-1 product;E5 则要求证明过多次 0-to-1 或 1-to-N 的成功。

一个具体的 hiring manager 对话场景:候选人在 Google L4 和 Meta E4 之间犹豫,HM 说"E4 here is designed to be a proving ground,很多人两年内要么 promote 要么 out"。这不是威胁,是信息。

Meta 的 up-or-out 压力比 Google 大,E4 到 E5 的 median time 是 2.5 年,而 Google L4 到 L5 的 median 是 3-4 年。但反过来,Meta E5 的 compensation band 上限比 Google L5 高,因为 Meta 的 equity refresh 更 generous,尤其是在 stock price 表现好的年份。

Pre-IPO 公司的层级更危险。"Director of Product"可能意味着向 CEO 汇报、管理 20 人,也可能意味着你是产品线的唯一负责人、手下没有直接 report。

RSU 的暗面:vesting、refresh 和 tax 的复合陷阱

RSU 的全称是 Restricted Stock Unit,"restricted" 是关键词——在你满足条件之前,它什么都不是。但大多数人把 offer letter 上的 RSU grant 数字当成了银行账户里的存款。

Vesting schedule 是第一层陷阱。四年 vest 是标准,但 cliff 的设计千差万别。Google 的 GSU 没有 cliff,入职即开始 quarterly vest,但第一年 vest 的比例是 12.5% 每 quarter(即 4 年 16 个 quarter 平均)。

Meta 的 RSU 有第一年 cliff,之后 quarterly,但前两年的 vesting 比例被调整以配合其"front-loaded" philosophy。Amazon 的 5/15/40/40 是出了名的前轻后重,意图很明确:用 sign-on bridge 覆盖前两年,用 heavy back-end 锁人后两年。

不是 vesting 越平均越好,而是要看你的个人时间窗口。如果你计划 3 年内买房、生子、或回国,front-loaded 的结构对你更友好。如果你打算在公司长期发展,back-loaded 配合 generous refresh 可能是更好的 deal。

Refresh grant 是第二层陷阱,也是大多数人低估的变量。Google 的 refresh 叫"GSU refresh",通常在每年 performance review 后发放,规模和个人的 rating 直接挂钩。

Meta 的 refresh 更 generous,但和 stock price 的关联更直接——2022 年 Meta 股价腰斩时,很多 E5 的 refresh grant size 翻倍以补偿 value 下跌,但当股价回升时,这些 grant 的实际价值又远超预期。不是 refresh 越多越好,而是 refresh 的计算公式和 your performance rating 的 correlation 决定了你的 long-term comp trajectory。

Tax 是第三层陷阱,也是最容易被忽略的。RSU 在 vest 时按 ordinary income 计税,公司通常会 withhold 22%(federal)加上 state tax。Google 的 default 是"sell to cover",即 vest 时自动卖出足够份额来 cover tax withholding。

Meta 类似。但这里的细节是:如果你的 RSU vest 时公司股价处于高点,你按高点的价值交了税,之后股价下跌,你已经交的税不会退还。2022 年很多 Meta 和 Netflix 的员工经历了这个噩梦—— vest 时股价 300,交税按 300 算,几个月后股价跌到 150,实际到手 equity 的价值已经缩水,但税照交不误。

签字费的真相:bridge money 还是谈判筹码

签字费在硅谷 PM offer 中是一个被过度神话的数字。它的本质是 company 的"buying your risk"——你放弃了其他机会、可能搬家、可能接受更低的初始 equity,公司用 cash 补偿这个 opportunity cost。

Google 的 sign-on 通常在 10K-50K 范围,senior 级别可能到 75K,但非常规。谈判空间取决于你的 competing offer 强度和 hiring manager 的 urgency。

Meta 的 sign-on 更灵活,我见过 E5 拿到 100K sign-on 的案例,前提是他放弃了 Netflix 的 offer 且有书面证明。Amazon 的 sign-on 是结构性的,因为 vesting 前轻后重,sign-on 是补偿前两年 equity 不足的 mechanism,Year 1 和 Year 2 各半,两年内离职按比例退还。

不是 sign-on 越高代表公司越想要你,而是 sign-on 往往是公司不愿调整 base 或 equity 时的替代方案。一位候选人在 debrief 后要求提高 base,HR 的回应是"base is fixed by band,we can increase sign-on"。

这实际上是公司的理性选择——sign-on 是一次性 cost,base 是 recurring,equity 是 dilutive。

Relocation package 是另一个常被混为一谈的概念。Google 的 relocation 是 standardized,湾区本地通常 10K,cross-country 25K,国际 40K+。

Meta 更 flexible,尤其是从 competitor 挖人时。Amazon 的 relocation 有 lump sum 和 managed package 两种选择,lump sum 通常更划算因为你可以 pocket the difference。

谈判签字费的具体场景:一位从西雅图搬来湾区的 PM,手里有 Google 和 Meta 两个 offer。Google 的 sign-on 是 30K,Meta 是 50K。他选择用这个 gap 去压 Google,Google 的 counter 是"we can match the sign-on if you can show us the written offer"。

Google 的 PM 面试通常是 5-6 轮:2 轮 product sense,1 轮 technical(system design 或 data analysis),1 轮 behavioral(Googliness),1 轮 analytical,以及可能的 1 轮 with hiring manager。每轮 45 分钟,但 product sense 经常 double slot 成 90 分钟。

关键洞察:Google 的面试 design 是"independent signals",即每轮面试官不知道其他轮的表现,他们只负责给自己负责的 dimension 打分。这意味着你不能依赖"某一轮 dazzling performance"来 compensate 另一轮的 weakness——hiring committee 会看的是 signal 的 pattern,不是 average。

Meta 的面试是 4-5 轮:1 轮 product sense,1 轮 execution/analytical,1 轮 behavioral(leadership),1 轮 product craft,1 轮 with hiring manager。Meta 的面试 design 更强调"strong yes/no",面试官被鼓励给出极端信号,hiring committee 的决策更 binary。

一个 insider 场景:某个 E5 candidate 在 4 轮中拿了 3 个 strong yes 和 1 个 weak no,最终结果是 no hire,因为那个 weak no 来自 hiring manager,而 HM 的 signal 在 Meta 的 system 中有 veto power。

不是面试轮数越多越难,而是不同公司的 interview philosophy 决定了你要 prepare 的 strategy。Google 要求 consistency across dimensions,Meta 要求 standout strength in at least one area。

具体的时间线和考察重点:

Product sense 轮,Google 的典型 prompt 是"design a product for X",评分标准是 user empathy、creativity、analytical rigor、和 prioritization。Meta 的 product sense 更偏"choose a product you love, tell me how you'd improve it",评分标准是 product intuition、execution ability、和 communication clarity。

不是 Google 的题更难,而是 Google 的 rubric 更 structured,面试官按 checklist 打分;Meta 更 holistic,impression 权重更高。

Execution/analytical 轮,Google 可能是"this metric dropped 20%, what do you do",考察的是 data fluency 和 structured problem solving。Meta 可能是"given these constraints, design an experiment",考察的是 trade-off 判断和 speed of iteration。

  1. 准备两份 written summary:一份给你的 spouse/family 解释这个 decision 的 trade-off,一份给你的 future self(18 个月后)解释为什么当时这么选。如果第二份写不下去,说明你的 reasoning 还有 gap。

常见错误

错误一:把 offer letter 上的 total comp 当成实际到手收入。

BAD:候选人 A 看到 Google L5 的 total comp 是 380K,Meta E5 的是 420K,直接选 Meta。他没有算 Google 的 base 是 200K,Meta 的 base 是 170K;

Google 的 RSU 四年平均 vest,Meta 的 front-loaded 但 refresh 更 generous。更没有算 California state tax、Medicare additional tax、和 401k contribution 对 net income 的影响。

GOOD:候选人 B 做了一个四年 cash flow model,假设股价不变,Google Year 1 的 after-tax monthly cash flow 是 12K,Meta 是 14K;但 Year 3 因为 Google refresh 的 kick-in,差距缩小到 1K 以内。

他结合自己的买房 timeline(Year 2)选择了 Meta 的前高现金流,但完全理解了这个 trade-off。

错误二:忽视层级背后的 promotion timeline 和 comp acceleration。

BAD:候选人 C 选择了 pre-IPO 公司的"Director of Product",因为 title 比 Google 的 L5 高。两年后公司 IPO 失败被收购,他的 equity 几乎归零,而 Google L5 同期 promote 到 L6 的总 comp 已经到 500K+。

独角兽的 Staff-to-Principal 没有 fixed timeline,comp 取决于 next funding round 的 valuation。他选择了确定性更高的路径。

错误三:谈判时只谈数字,不谈 structure。

BAD:候选人 E 拿到 Google 和 Meta 的 offer 后,回 Google 说"Meta 给我 450K,你们 match 我就来"。Google 的 HR 说"we don't match offers, we offer competitive compensation based on your level and interview performance",谈判陷入僵局。

他后来意识到 Google 的 policy 是"compete with the market, not with specific offers",他的策略完全错误。

GOOD:候选人 F 在同样情境下,对 Google 说"I'm excited about the team and the problem space. My other offer has a different structure that provides more front-loaded cash flow because of [specific vesting reason]. I'm hoping we can find a way to make the first two years work for my family situation." 他没有 mention 竞争对手的名字,但提供了具体的 structural gap,Google 最终调整了 sign-on 和 first-year bonus 的 structure 来 accommodate。
